The seminar will discuss the role and responsibilities of company secretaries of Maltese companies, whether individuals or corporate entities, as well as the implications of the Company Services Providers Act. A number of practical examples of the responsibilities which company secretaries are expected to fulfil will be discussed. Emphasis will also be given to practical tips which company secretaries may resort to, within the parameters of Maltese law, in order to limit their personal liability for offences committed by the companies in which they hold office. The seminar will also highlight some recent important judgements of the Maltese Courts. Lastly, the seminar will give a brief overview of the direction in which company secretaries’ responsibilities are expected to evolve in the future and the role technology may play to aid company secretaries in fulfilling their responsibilities.
The Speaker
Stephanie Zarb Adami is a Senior Associate within Ganado Advocates’ corporate finance and tax team with a particular focus on various corporate matters such as the formation of companies, the formation and transfer of registered office of European Companies (societas europaea) and the re-domiciliation of companies into and out of Malta, as well as the provision of advice in relation to all corporate matters related to the clients’ structure.
She also regularly advises on and assists with corporate financing structuring and transactions including mergers, takeovers and restructurings, related security arrangements, as well as various corporate projects, corporate governance and other corporate and company law matters. She also regularly assists in matters relating to both vendor and purchaser related legal due diligence.
