This webinar will delve into the legal permutations of mergers and acquisitions, exploring the various ways in which companies can be acquired, merged and divided. We will discuss the different considerations which will need to be made in order to get an M&A transaction across the line, including due diligence exercises, pricing mechanisms and distinguishing between representations, warranties and indemnities. Beyond the transaction itself, the webinar will address other critical aspects to be considered as part of an M&A transaction: Malta's merger control thresholds, foreign direct investment screening requirements, DAC 6 mandatory disclosure obligations, and other considerations relating to the transfer of employees.
