Commercial contracts are often the starting point for determining the indirect tax treatment of a transaction. The wording of a contract, the role of each party, the flow of goods or services, pricing terms, risk transfer, agency arrangements and reimbursement clauses can all materially affect the VAT analysis.
This three hour CPE session will explore how to analyse commercial contracts from an indirect tax perspective, with VAT as the main focus and selected references to import duties and duty on documents and transfers where relevant. The session will move from domestic contract fundamentals to cross border arrangements, using practical examples to illustrate key issues such as place of supply, exemptions, reverse charge, bundled supplies, agency and commissionaire structures, Incoterms, disbursements and evidential requirements.
Sector examples will include real estate, distribution and trading, financial services, gaming, aviation, shipping and transport, and business transfers or reorganisations.
Designed primarily for accountants, tax advisers and finance professionals, while also being relevant to lawyers and commercial teams, the seminar will help participants identify indirect tax issues earlier and approach contract analysis with greater technical confidence.

Russell Camilleri is a Certified Public Accountant and an ADIT-qualified tax professional, having chosen EU VAT as his specialisation module. With over a decade of experience in domestic and international tax advisory, he currently serves as Head of Tax at AE Business Advisors. Russell advises a diverse portfolio of corporate groups, SMEs, and high-net-worth individuals on VAT, direct taxation, and cross-border structuring. He has particular expertise in Maltese VAT compliance, including the practical application of Articles 10, 11, and 12, and regularly assists clients with VAT reporting, audits, and international VAT matters.
