The role of a company officer brings with it significant responsibilities, with wrongful and fraudulent trading representing an acute risk of personal liability for directors. This course provides an in-depth examination of when and how officers become personally liable within this context, covering:

• Wrongful and fraudulent trading frameworks – statutory definitions, threshold tests, and the duty to creditors when insolvency threatens
• Triggers and warning signs – identifying financial distress and knowing when trading must cease; and
• Personal consequences –liability for debts.

The Speaker

Maria Magro is an associate in the financial services team at Camilleri Preziosi Advocates. She specializes in banking and finance law, corporate law, and mergers and acquisitions (M&A). Maria’s experience includes advising local and international banks as well as institutional investors and private equity houses in connection with complex local and cross-border finance transaction. In addition, Maria regularly advises local companies on corporate law matters and other corporate governance issues. Maria has also been involved in a number of transactions involving acquisitions of local businesses and other transactions across a variety of industries.

Maria qualified as an attorney in Malta in 2019 and was admitted to the bar in 2020. Maria has also obtained her LL.M. in Banking and Finance Law (with distinction) in 2022 through the University of London.
