The session will seek to give an introduction to the key concepts in corporate and securities law with reference to local legislation. The speaker will delve into the traditional characteristics of debt and equity securities and will discuss the implications of debt and equity financing for businesses as well as the general implications of investing in equity and debt securities for investors. The main part of the session will cover the legislation applicable to companies making offers of securities to the public in Malta with reference to the relevant provisions of the Companies Act (Cap. 386 of the Laws of Malta) and related legislation. The session with also cover certain key capital markets concepts and terminology and will give an overview of the capital markets scene in Malta. In particular, the speaker will comment on the platforms available for securities to be listed and traded in Malta and their defining regulatory and practical characteristics. The session will end with a commentary on developments in the capital markets space locally, followed by a brief Q&A.


Dr Matthew Booker is a Maltese lawyer by profession and also holds a Bachelor’s Degree in International Economics & Finance from Bocconi University in Milan. Matthew is a Manager in the Tax and Corporate team at Deloitte Malta where he advises clients on both the tax and legal implications to a number of corporate transactions. Matthew’s primary client base is in the financial services industry and he has significant experience in providing advice from a tax and legal perspective to banks, funds and listed entities, established both locally and internationally. Matthew is an Associate Member of the Malta Institute of Taxation (MIT) and an active member of the Technical Committee on Regulated Business within Institute of Financial Services Practitioners (IFSP).
