The course will cover various stages of the mergers and acquisitions process, from the pre-offer stage and determining value and best possible structure, to the offer stage and key aspects of the agreement, to finally, post-closing and realising synergies and the other benefits behind the transaction. Practical aspects will include (i) the due diligence process, (ii) structuring the deal, (iii) non-disclosure arrangements, (iv) the contract, (v) synergies and employment; and (vi) regulatory requirements.
The course will be of interest to various professionals involved in mergers and acquisitions as well as the directors and/or management of companies that may become involved in the process.
Dr. Mikiel Calleja is a senior associate at the law firm Mamo TCV Advocates. He graduated as Doctor of Laws in 2013 and joined the firm in 2014, the same year that he returned from having completed his LL.M. at the University College London. His main areas of practice are capital markets, mergers and acquisitions and corporate law. As counsel to companies with debt and equity listings, he often advises on the regulatory aspects relating to both the listing of securities on a Regulated Market as well as the continuing obligations once listed. He also acts as company secretary on a number of private and publicly listed companies, regularly advising on corporate governance and corporate matters generally.
